License Agreement.

This End User License Agreement ("Agreement") is a legally binding agreement between you ("User", "you", or "your"), and Taxonation India LLP, the owner and operator of Taxonation.ai ("Taxonation", "Company", "we", "us", or "our"), governing your access to and use of the Taxonation.ai platform, including its website, application, AI-based query and drafting tools, database, and related services (collectively, the "Platform").

By creating an account, logging in, clicking "I Agree", or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement, along with our Privacy Policy and Terms of Use. If you do not agree to these terms, you must not access or use the Platform.

"Platform" means the Taxonation.ai website, software, mobile or web application, AI response engine, database, and all associated features including GST and Income Tax query modules, drafting tools, caselaw search, and notice-reply generation.

"AI Output" means any response, draft, reply, summary, interpretation, or content generated by the Platform’s artificial intelligence system in response to a User’s query or uploaded document.

"User" or "you" means the individual or entity, including tax consultants, chartered accountants, advocates, and tax professionals, who is authorized to access and use the Platform.

"Database" means Taxonation India LLP’s proprietary repository of tax statutes, rules, notifications, circulars, case law, and related materials used to inform AI Output.

"Subscription" means the paid or free plan under which a User is granted access to the Platform.

Subject to your compliance with this Agreement and payment of any applicable fees, Taxonation grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your own internal professional tax practice, including advising clients, drafting responses, and conducting research.

This license does not grant you any ownership rights in the Platform, the Database, the underlying AI models, or any software, source code, or documentation associated with the Platform. All rights not expressly granted herein are reserved by Taxonation.

The Platform is designed and intended for use exclusively by qualified tax professionals, including but not limited to chartered accountants, company secretaries, cost accountants, advocates, tax consultants, and their authorized staff acting under professional supervision. By using the Platform, you represent and warrant that you possess the requisite professional qualification, knowledge, and expertise to independently evaluate, verify, and apply professional judgment to any AI Output before relying on it or communicating it to any third party.

The Platform is not intended for use by consumers, laypersons, or any person without professional tax expertise, and Taxonation disclaims any responsibility arising from use by such persons.

AI Output is generated using automated, machine-learning based systems trained on and referencing Taxonation’s proprietary Database. It is generated algorithmically and is not reviewed or verified by a human tax expert prior to delivery to you.

Artificial intelligence systems, however well-designed, are inherently capable of error. AI Output may contain mistakes, omissions, outdated references, incorrect interpretations of law, incorrect application of law to facts, or fabricated or non-existent citations to sections, rules, notifications, circulars, or case law.

Tax laws, rules, notifications, and judicial precedents are subject to frequent amendment, and there may be a time lag between a change in law and its reflection in the Database. Taxonation does not warrant that the Database is complete, current, or free of error at any given time.

The Platform and all AI Output are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.

AI Output is provided solely as a research, drafting, and productivity aid. Nothing generated by the Platform constitutes legal advice, tax advice, financial advice, or any other form of professional advice. No advisor-client, attorney-client, or other professional relationship is created between Taxonation (or its promoters, directors, employees, or affiliates) and you, or any third party to whom you communicate AI Output, by virtue of your use of the Platform.

As a condition of using the Platform, you agree that you shall:

To the maximum extent permitted by applicable law, Taxonation, its promoters, directors, employees, licensors, and affiliates shall not be liable, whether in contract, tort (including negligence), strict liability, or otherwise, for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of clients or business, penalties, interest, litigation or professional costs, or reputational harm, arising out of or in connection with:

In no event shall Taxonation’s aggregate liability arising out of or relating to this Agreement exceed the total subscription fees actually paid by you to Taxonation in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Taxonation and its promoters, directors, employees, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Platform or AI Output; (b) your breach of this Agreement; (c) any advice, filing, or submission made by you or under your supervision based on AI Output without independent verification; or (d) your violation of any applicable law or third-party right.

The Platform, including its software, source code, user interface, Database, AI models, trademarks, logos, and all content therein (excluding User-submitted queries and documents), is the exclusive property of Taxonation and is protected under applicable intellectual property laws. You may not copy, reverse-engineer, decompile, modify, distribute, resell, sublicense, or create derivative works from the Platform or Database, or use automated means to extract or scrape data from the Platform, without Taxonation’s prior written consent.

You may input client-related information, documents, or notices into the Platform for the purpose of generating AI Output. You represent that you have all necessary rights and consents to submit such information. Taxonation’s handling of such data is governed by its Privacy Policy. You remain responsible for complying with your own professional confidentiality obligations towards your clients when using the Platform.

Access to certain features of the Platform may require payment of subscription fees as set out on the Platform. Taxonation reserves the right to suspend or terminate your access, without liability, in the event of non-payment, suspected misuse, breach of this Agreement, or any unlawful use of the Platform.

This Agreement remains in effect for as long as you use the Platform. Taxonation may suspend or terminate your access at any time, with or without cause or notice, including for breach of this Agreement. You may terminate this Agreement at any time by discontinuing use of the Platform and closing your account. Sections relating to Limitation of Liability, Indemnification, Intellectual Property, and Governing Law shall survive termination.

Taxonation reserves the right to modify, update, suspend, or discontinue any part of the Platform, including its features, Database coverage, or AI models, at any time without prior notice. Taxonation may also revise this Agreement from time to time; continued use of the Platform following such revision constitutes acceptance of the updated Agreement.

This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts at Gurgaon, Haryana, India, or resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, as may be agreed by the parties.

Entire Agreement: This Agreement, together with the Privacy Policy and Terms of Use, constitutes the entire agreement between you and Taxonation regarding the Platform.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver: Taxonation’s failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer this Agreement without Taxonation’s prior written consent. Taxonation may assign this Agreement in connection with a merger, acquisition, or sale of assets.

By accessing or using the Taxonation.ai Platform, you acknowledge that you have read and understood this Agreement, that you are a qualified tax professional using the Platform for professional purposes, and that you agree to be bound by its terms, including the disclaimers and limitations of liability set out above.
